It is your responsibility to verify that the information gleaned from the Services and/or Personnel is accurate and correct with your carrier, health plan, TPA, Human Resources department, facility, and/or physician.
Changes to Services: You acknowledge that while we make an effort to keep you updated on important changes, the Services may be changed, modified or updated at any time for any reason without direct notice to you and information may not always be up to date. Medefy may also make additions, modifications or changes in, or discontinue products, services or programs offered at any time with or without notice. We reserve the right to remove, screen, edit, or reinstate content, including third party and user content, from time to time at our sole discretion and without notice to you. We have no obligation to retain or provide you with copies of content, nor do we guarantee any confidentiality, other than what is imposed by the HIPAA and HiTech Acts, as well as applicable local and state law, with respect to user content.

Medefy is a mobile app software service platform (the "App")and/or website (the “Site”), which contains but is not limited to client-provided health plan information (“Information”), benefits navigation advisory, data, and referral coordination functions (“Personnel”), marketing materials (“Engagement Materials”), and other benefits-centered functionality(including third party vendor functionality and information) (“OtherFunctionality”) offered by Medefy Health, Inc., a Delaware corporation (“We” or"Medefy"). Before you begin, please take time to ensure that you understand the terms and conditions of our relationship by reading this important information, which includes certain limitation of liability and indemnification provisions applicable to your use of the App, Site, Personnel,Engagement Materials, and Other Functionality (collectively, the “Services”),whether you use them in whole or in part. The Services may be used or deployed under Medefy’s brand (“Marks”) or under a third-party Mark (“White Label”), and these Terms of Service/End User Terms shall apply to either or both.
These Terms of Service are an agreement between Medefy and you regarding the use of Medefy’s Services("you" or "User"). BY CLICKING ON "I AGREE"BELOW, YOU INDICATE YOUR ACCEPTANCE OF THESE TERMS OF USE. We reserve the rightto update or change these Terms of Service at any time and for any reason. By continuing to use the Services, you agree to accept any such revisions. The year of the last update is stated at the top of this document. As long as youcomply with these Terms of Service, as revised, Medefy grants you a personal, non-exclusive, non-transferable, non-sublicenseable, revocable, limited privilege to enter and utilize its Services.
In consideration of your use of the Services, whether under Medefy’s Marks or under the Marks of a white-labeled enterprise partner or client of Medefy, you agree to: (a) provide true, accurate, current and complete identification information about yourself as prompted by the registration form, and (b) to maintain and update this information to keep it true, accurate, current and complete, and (c) utilize the Services under your own true identity. If any Service usage or information provided or utilized by you is untrue, inaccurate, not current or incomplete, Medefy has the right to terminate your account and refuse any and all current or future use of the Services.
These Terms of Use expressly incorporate herein by reference the provisions of our Privacy Policy, which can be found at www.medefy.com/privacy. Our Privacy Policy discloses Medefy’s practices regarding the collection and use of your personal information. By agreeing to these Terms of Service, you are also agreeing that you have read and agreed to the terms of our Privacy Policy and are consenting to the use and disclosure of information provided to us as outlined therein.
If you accept theseTerms of Service and register for Medefy, but later decide that you want to refuse these terms and deactivate your account, please contact Customer Support at support@medefy.com and a Medefy team member will verify your identity and complete your request.
With the Service, you may permit Medefy to retrieve you or your minor dependents information maintained online by third party administrators of your health plans or other third parties or external vendors with which you may or may not directly or indirectly engage in healthcare transactions ("Account Information").This includes, but is not limited to, the creation of accounts on third party vendors’ services in your (or your minor dependent’s) name and with your (or the minor dependent’s) specific identifying information, in order to retrieve information, or retrieving such information in your name and with your specific identifying information (or minor dependent’s) by other means, including phone, email, mail, data transmission, or other medium. We make no effort to review the Account Information for any purpose, including but not limited to accuracy, legality or non-infringement. We are not responsible for the products and services offered by or on third-party sites or services, or by your employer’s other health plan vendors whose information you may or may not have access to within the Medefy Service. Medefy cannot always foresee or anticipate technical or other difficulties that may result in failure to obtain data or loss of data, personalization settings or other service interruptions. Medefy cannot assume responsibility for the timeliness, accuracy, deletion, non-delivery or failure to store any user data, communications or personalization settings. For example, when displayed through the Service, Account Information is only as fresh as the time shown, which reflects when the information is obtained from such sites or databases. By submitting information, data, passwords, usernames, PINs, other login information, materials and other content to us through theService, you are licensing that content to Medefy solely for the purpose of providing the Service. Medefy may use, analyze, compile, and store the content, but only to provide the Service. By submitting this content to Medefy, you represent that you are entitled to submit it to Medefy for use for this purpose, without any obligation by Medefy to pay any fees or other limitations.By using the Service, you expressly authorize Medefy to access your AccountInformation maintained by applicable third parties, on your behalf as your agent. Medefy will submit information including usernames and passwords that you provide to log into and retrieve Account information from each third-party vendor site or service. In addition, you agree to allow Medefy (or an authorized third party) to survey you periodically, through any means Medefy deems appropriate, as to the functionality, user experience, satisfaction, requested services, or other items Medefy may deem relevant to Service development and continuance.
For purposes of theseTerms of Service and solely to obtain your Account Information as part of theService, you grant Medefy a limited power of attorney, and appoint Medefy as your attorney-in-fact and agent, to access third party sites, retrieve and use your Account information with the full power and authority to do and perform each thing necessary in connection with such activities, as you would or could do in person. YOU ACKNOWLEDGE AND AGREE THAT WHEN MEDEFY IS ACCESSING AND RETRIEVING ACCOUNT INFORMATION FROM THIRD PARTY SITES, MEDEFY IS ACTING AS YOUR AGENT, AND NOT AS THE AGENT OF OR ON BEHALF OF THE THIRD PARTY. You understand and agree that the Service is not sponsored or endorsed by any third parties from whom Medefy may access your information or that may be accessible through the Service.
By agreeing to theseTerms of Service, you hereby appoint Medefy as your agent and designee for purposes of exercising your right to access your protected health information("PHI") in accordance with the Health Insurance Portability andAccountability Act and regulations issued thereunder (collectively,"HIPAA"). Medefy will act as your agent for the sole purpose of obtaining PHI contained in your designated record set (as that term is defined under HIPAA) to provide the Service. You agree that Medefy, as your agent, shall request that your PHI be provided in electronic format with the data fields and frequency that Medefy deems necessary to provide the Service. Your appointment of Medefy as your agent pursuant to this paragraph shall continue until you terminate the Service in accordance with these Terms of Service. You may terminate your use of the Service at anytime by sending an email tosupport@medefy.com.
In addition to the above, you grant Medefy the right to contact you, or if applicable, a minor dependent, by any medium available including in-app text, SMS text, email (both personal and corporate), physical mail, telephone, and any other medium Medefy uses or will use, in relation to the Medefy service, healthcare related matters, health plan related matters, corporate health initiatives, or any other matter Medefy, at its sole discretion, may deem important. These contacts may be done once, or regularly, at Medefy’s sole discretion.
You agree that any data generated by you, the User, or that of your minor dependents, through use of the Medefy Service, including but not limited to behavioral data, such as search behavior, purchasing behavior, decision behavior, etc., health data, conversation data, health wearable data, location data, medical claims data, or any other data generated by you or a minor dependent, is the sole property of Medefy.
With respect to any user review that you choose to submit to the Service, you grant Medefy a nonexclusive, royalty-free, perpetual, transferable, irrevocable and fully sublicensable right to use, reproduce, delete, modify, adapt, translate, distribute, publish, create derivative works from and publicly display and perform information contained in such a user review for any purpose whatsoever throughout the world in any media, now known or hereafter devised. In addition, you further agree that Medefy retains the absolute right and sole discretion to publish, post, display, remove, screen, edit, or reinstate your review without notice to you.

Limitation of Liability:IN NO EVENT SHALL MEDEFY, NOR ANY OF ITS AFFILIATES, BE LIABLE FOR ANY DIRECT DAMAGES IN EXCESS OF THE GREATER OF (i)ACTUAL FEES PAID BY YOU, OR (ii) $2,000.IN NO EVENT SHALL MEDEFY OR ITS AFFILIATES BE LIABLE FOR ANY SPECIAL, PUNITIVE,CONSEQUENTIAL, INCIDENTAL OR INDIRECT DAMAGES, HOWEVER CAUSED, ON ANY THEORY OF LIABILITY AND WHETHER OR NOT MEDEFY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT IS MEDEFY LIABLE FOR ANY DAMAGES CAUSED BY YOUR OR ANY THIRD PARTY’S ACTS OR OMISSIONS.
You acknowledge and agree that payment by Medefy or retention by you of direct damages, as limited above, is your sole and exclusive remedy in exhaustion of all other remedies, at law or in equity, and that such remedy has not failed of its essential purpose.Any claims against Medefy arising in connection with your use of the Services, product or information offered or purchased through the Services must be brought against Medefy within one (1) year of the date of the event giving rise to such action. When using the Service, information will be transmitted over a medium which may be beyond the control and jurisdiction of Medefy, its customers and/or vendors. Accordingly, Medefy assumes no liability for or relating to the delay, failure, interruption or corruption of any data or other information transmitted in connection with use of the Service.
Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for incidental or consequential damages. Accordingly, the above disclaimers and limitations may not apply to you if you reside in such a jurisdiction.You may also have other legal rights that vary from state to state.
Copyrights Trademarks and Patents: All of the: (a) content included on the Services, including text, art, graphics, logos, button icons, images, pictures, audio clips and software "Content"); (b) trademarks, trade names, logos, brand names and service marks ("Marks") of Medefy, whether registered or unregistered; and © patents and patent applications ("Patent Rights") of Medefy, are the property of Medefy, its members, partners or content providers, and are protected by U.S. and international copyright, trademark or patent laws, as applicable. Except as granted in the limited license below, any use of: (i) Content, including modification, transmission, presentation, distribution or republication; (ii)Marks; or (iii) Patent Rights is prohibited without the prior written consent of Medefy (or if a Mark is owned by a third party, the prior written consent of such third party).
Limited Use: As a User of the Service, Medefy authorizes you to download the Content, Marks and other materials (collectively the"Materials") on the Service solely for your personal, non-commercial use. If you violate any provision of these Terms of Service, your permission to use such Materials automatically terminates and you must immediately uninstall and/or destroy any copies you have made of any portion of such Materials. TheService or any portion thereof may not be reproduced, duplicated, copied, sold, resold, or otherwise exploited for any commercial purpose that is not expressly permitted by Medefy.
Third Party Licenses: You agree that you will not upload or transmit any communications or content of any type that infringe or violate any rights of any party.
Data: Medefy welcomes your feedback as a user of theService, and may request your feedback regarding the Service or providers referenced in the Service through surveys, bulletin boards, emails or other means. Any feedback you provide will become the confidential and proprietary information of Medefy, and you agree that Medefy may use in any manner and without limitation all comments, suggestions, complaints, reviews and other feedback you provide relating to the Service. Medefy shall have a worldwide, royalty-free, non-exclusive, perpetual, and irrevocable right to use feedback for any purpose, including but not limited to, incorporation of such feedback into the Service or other Medefy software or services.
Restrictions on Use: You agree that you will not: (i) use theService in order to invade the privacy of, obtain the identity of, or obtain any personal information about any other user of the Service; (ii) modify, erase or damage any information contained on the computer of any user connected to the Service; (iii) reverse engineer any portion of the Site or Service, or(iv) use the Site or Materials in any manner that is inconsistent with the limited license granted herein. Additionally, you agree not to post or transmit: (a) information under a false name; or (b) any information which (i)is libelous, defamatory, obscene, fraudulent, false or contrary to the ownership or intellectual property rights of any other person, or (ii) contains any virus, worm, Trojan horse or other code which is contaminating or destructive to the files or programs of Medefy or any of its users. Medefy reserves the right to delete any information provided by you that it deems inits sole discretion fraudulent, abusive, defamatory, obscene or in violation of a copyright, trademark or other intellectual property or ownership right of any other person.
Passwords: As a user of the Service, you will either (a)receive an activation code for registration and select a user name and password in order to access the Service; or (b) access the Service through a Medefy customer’s or business partner’s password protected site or app. You hereby agree that you will (i) not distribute your activation code (if applicable);(ii) keep your password protected and not share it with others; and (iii)promptly inform us or the site through which you access the Site of any need to deactivate a password. Termination: Medefy reserves the right to restrict or refuse access to the Services and to terminate your use of the Site if Medefy believes that your conduct violates these Terms of Service and/or any applicable law or is harmful to the interests of Medefy, its members, partners or suppliers, or other users, or for any other reason in Medefy’s sole discretion, with or without cause.
AI Services;Inputs and Outputs. Fromtime to time, Medefy may make available to you products or features that useartificial intelligence technologies or functionalities (“AI Services”),including the products and services branded as “CareAI.” When accessing or using AI Services, you mayprovide input (“Input”) to be processed by the AI Services, and receiveoutput generated by the AI Services based on theInput (“Output”). You are solelyresponsible for the selection, content, and submission of all Input and the useof the Output. You acknowledge and agree that due to the nature of artificialintelligence, Output might be the same as or similar to data, information,content, or output provided to others.
LIMITATIONS. Youmay not use any Output: (i) to develop foundation models or other large scalemodels that compete with the AI Services; (ii) to mislead any person to believeor assume that Output was human-generated; (iii) in a manner that violates anytechnical documentation, usage guidelines, or parameters that may be madeavailable by Medefy; (iv) for any purpose other than in furtherance of your useof Medefy’s products and services aspermitted pursuant to these Terms of Service; or (v) to reverse engineer,decompile, disassemble or seek to discover any underlying components of themodels, algorithms, and systems used in or to develop the AI Services.
USE OF INPUTS. Youretain ownership of all Input. No ownership rights in the Input are transferredto Medefy by these Terms. Notwithstanding any other provision in these Terms, yougrant Medefy a worldwide, non-exclusive, royalty-free, fully paid-up, sub-licensablelicense to use, process, host, store, display, reproduce, modify, createderivative works of, and distribute Input during the course of your use of the AIServices for purposes of providing and improving our products and services.
ASSUMPTION OF RISK. MEDEFYDOES NOT MAKE ANY WARRANTY AS TO THE RESULTS THAT MAY BE OBTAINED FROM THE USEOF AI SERVICES OR THE ACCURACY OF ANY OTHER INFORMATION OBTAINED THROUGH THE AISERVICES. YOU UNDERSTAND AND AGREE THAT ANY CONTENT OR OUTPUT OBTAINED THROUGHTHE USE OF AI SERVICES IS PROVIDED “AS-IS” AND OBTAINED AT YOUR SOLE RISK. AISERVICES SHOULD NOT BE USED OR RELIED UPON BY YOU WITHOUT INDEPENDENTLYDETERMINING THE ACCURACY OF THE OUTPUT, AS ANY OUTPUT MAY CONTAIN MATERIALINACCURACIES OR UNVERIFIED INFORMATION DUE TO THE NATURE OF MACHINE LEARNING ORCHANGES TO THE DATA MODEL AND/OR THE UNDERLYING DATA AFTER AN OUTPUT ISGENERATED. NO INFORMATION, ADVICE, OR OTHER CONTENT, WHETHER ORAL OR WRITTEN,OBTAINED FROM MEDEFY OR THROUGH THE AI SERVICES SHALL CREATE ANY WARRANTY NOTEXPRESSLY SET FORTH HEREIN, AND MEDEFY DISCLAIMS ALL OTHER WARRANTIES.NOTWITHSTANDING ANY WARRANTIES OR OTHER TERMS IN THE CONTRACT, THE AI SERVICESAND THE OUTPUT ARE NOT INTENDED TO SUBSTITUTE FOR THE FUNCTION OR SERVICES OFPROPERLY TRAINED AND LICENSED INDIVIDUALS, INCLUDING WITHOUT LIMITATIONPHYSICIANS OR OTHER CLINICIANS OR INSURANCE BROKERS OR ADVISORS.
